Paul A. Carroll Q.C. Chairman and CEO, Toronto, Ontario

Mr. Carroll is Chairman and CEO of Diadem. He is President of Carnarvon Capital Corporation, a corporate management and advisory company and the Chairman of the Board of Strategic Resource Acquisition Corporation. He has had a lengthy business career in the mining industry, both as a lawyer and as a director and/or officer of many mining companies. He has been engaged in the mineral exploration and mining industry in Canada, the United States, Central and South America, Africa, China, Russia and Kazakhstan. Companies with which he has been extensively involved include Dundee Corporation (formerly Dundee Bancorp Inc.), Corona Corporation (during its development and operation of the Hemlo and Eskay Creek gold mines) where he was a member of the Executive Committee, Zemex Corporation (industrial minerals), Royex Gold Mining Corporation (gold), Campbell Resources Inc. (gold, copper and asbestos), Cobra Emerald Mines Ltd. (emeralds), Lacana Mining Corporation (gold and silver), where he was Chairman, Arcon International Resources plc (zinc), where he was Chairman, Tahera Corporation (diamonds, during the discovery and early planning for production from the Jericho kimberlite pipes in Nunavut, Canada’s third producing diamond mine), World Wide Minerals Ltd. (uranium and gold), where he is Chairman, President and CEO, Riphean Platinum Corporation (gold and PGMs), where he is Chairman, Poco Petroleums Ltd. (oil and gas), Mascot Gold Mines Ltd. (gold), United Keno Hill Mines Ltd. (silver and zinc), Repadre Capital Corporation (now IAMgold Corporation, gold) and Crowflight Minerals Inc. (base metals and PGMs). In 2004 – 2005, as one of the committee of “independent directors” thereof, Mr. Carroll was a director of Argus Corporation Limited and Hollinger Inc. He was a Director of The Uranium Institute (now the World Nuclear Association) in 1998.

A. Lee Barker, P.Eng., P.Geol. Geological Consultant

Mr. Barker joined the Board in October, 2005. He is an independent mining executive and consultant with over 40 years of broad experience in the mineral industry. Mr. Barker was part of the gold exploration team at Lacana Mining Corporation and Corona Corporation and was involved in several diamond exploration, discovery and development projects for Aber Resources Inc. (now Aber Diamonds) and SouthernEra Resources Limited. Currently, as President of Sparton Resources Inc., he is active in precious metals exploration in China, Mexico and Canada. Mr. Barker’s diamond experience includes ongoing consulting assignments for a number of private and public exploration and development groups in various international venues. He also is a director of several other public companies involved in diamond exploration, mining and development worldwide.

David J. Layman C.A. Vice-President, Finance

Mr. Layman is a Chartered Accountant and has performed the chief financial officer or other financial officer duties for a number of mineral resource companies. After an initial career in public accounting with a major international accounting firm, Mr. Layman was Manager of Financial Reporting of Dome Mines Ltd. Subsequently, he joined a predecessor company of MinVen Gold Corporation, becoming its Vice-President Administration, Controller and Corporate Secretary. During that period, he was involved in structuring transactions such as the amalgamation of MFC Mining Finance Corp. and Brohm Mining Corp. and joint ventures with United Coin Mines Ltd., Wharf Resources Ltd. and Pegasus Inc. From 1992 until joining World Wide Minerals Ltd. as CFO in 1997, and again since 1999, Mr Layman has been an independent finance and business consultant in the mining industry, and has been involved with public mining companies active in North, Central and South America.

Lina Noble C.A.M. Corporate Secretary

Ms. Noble has performed accounting, corporate secretarial and other administrative functions for Diadem since its inception. Over that period she has held various positions with Diadem, including Director and Vice-President Finance. She is a Certified Administrative Manager with extensive private and public company financial administration experience with more than 30 years service in the mining industry.
